Limitation of powers of representatives of foreign organizations. Regulation and judicial practice
Abstract
The article discusses the normative provisions of paragraph 3 of Art. 1202 of the Civil Code of the Russian Federation, concerning the limitation of powers to conclude transactions on behalf of foreign legal entities, as well as the judicial practice of their application, in legal relationship with the general rules of the Civil Code of the Russian Federation on the legal consequences of a representative’s departure from powers (Article 174 of the Civil Code of the Russian Federation). Based on the above analysis, conclusions are drawn about the trends in judicial practice on the issue and proposals for the legislation improving – the development and adoption of a special law on management activities.
